MOORESVILLE, N.C., April 19, 2017 /PRNewswire/ -- Lowe's Companies, Inc. (NYSE: LOW) announced today it has agreed to sell $1.50 billion of 3.100% Notes due 2027 and $1.50 billion of 4.050% Notes due 2047 (collectively, the "Notes"). Estimated net proceeds from this offering will be approximately $2.96 billion, after deducting offering expenses and underwriters' discounts. Lowe's plans to use the net proceeds from the sale of the Notes (i) to fund its purchase for cash of up to $1.6 billion combined aggregate principal amount of certain outstanding notes validly tendered and accepted for purchase in the tender offer it commenced today, (ii) for the repayment of $250 million aggregate principal amount at maturity of its 6.100% Notes due September 15, 2017 and (iii) for other general corporate purposes. Closing is expected to occur on May 3, 2017, subject to satisfaction of customary closing conditions.
